Welcome to Managrie. These Terms of Service ("Terms") govern your access to and use of the Managrie property management platform, including our website, applications, and related services (collectively, the "Service"). Please read these Terms carefully before using our Service.

1. Acceptance of Terms
By accessing or using the Managrie Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
If you do not agree to these Terms, you may not access or use the Service. We may update these Terms as described in Section 16 (Modifications to Terms).
Additional Terms. Some Managrie products, features, or services (for example paid placements, listing services, or products offered by our affiliates) may be subject to additional terms presented when you use them. If additional terms conflict with these Terms, the additional terms control for that product, feature, or service.
2. Description of Service
Managrie is a cloud-based property management software-as-a-service (SaaS) platform designed to help property managers, landlords, and real estate professionals manage their rental properties, tenants, maintenance requests, and financial operations.
The Service includes, but is not limited to:
- Property and unit management tools
- Tenant and lease management
- Rent collection and payment processing
- Maintenance request tracking and vendor management
- Financial reporting and analytics
- Document storage and management
- Tenant portal
- Communication and notification tools
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Service Availability
We work to keep the Service available and reliable, but we do not guarantee any particular level of availability, and the Service is provided without a service level agreement (SLA) or service credits. The Service may be temporarily unavailable due to maintenance, updates, or circumstances outside our control.
3.1 Maintenance
We may perform maintenance at any time. For maintenance we expect to cause meaningful interruption, we will make reasonable efforts to provide advance notice by email or through the Service.
3.2 Incidents
If the Service experiences a significant outage, we will work to restore it promptly and to communicate status where appropriate. Enterprise agreements may include separately negotiated availability commitments.
4. User Accounts and Registration
4.1 Account Creation
To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your account information to keep it accurate, current, and complete.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Create a strong, unique password
- Not share your account credentials with others
- Notify us immediately of any unauthorized access or security breach
- Ensure that you log out of your account at the end of each session
4.3 Account Types and Permissions
Managrie supports multiple user roles for management accounts - such as owner, admin, and manager - plus tenant portal accounts. Account administrators are responsible for managing user access and permissions within their organization. You agree to assign appropriate access levels based on user roles and responsibilities.
Anyone who creates a Managrie account in any Managrie application, now or in the future, including management, tenant, vendor, and other account types, and regardless of who invited them, is a direct user of the Service and agrees to these Terms and our Privacy Policy. Information that a management account enters about a person who has not created their own account remains that management account's data and is handled as described in Section 8 and our Privacy Policy.
4.4 Age Requirements
You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.
5. User Responsibilities
As a user of the Service, you are responsible for:
- Data Accuracy: Ensuring that all information you enter into the Service, including property details, tenant information, and financial data, is accurate and up-to-date.
- Legal Compliance: Complying with all applicable federal, state, and local laws, including but not limited to fair housing laws, landlord-tenant laws, privacy regulations, and tax requirements.
- Third-Party Consent: Obtaining all necessary consents from tenants, vendors, and other third parties before entering their personal information into the Service.
- Data Backup: Maintaining your own backups of critical data. While we implement robust data protection measures, you acknowledge that no system is infallible.
- Proper Use: Using the Service only for its intended purpose of property management and related activities.
6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Engage in discriminatory practices in housing or tenant selection
- Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Use any automated means (bots, scrapers, etc.) to access the Service without our express written permission
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service to send unsolicited communications (spam)
- Impersonate any person or entity or misrepresent your affiliation
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.
7. Payment Terms and Billing
7.1 Subscription Plans
Managrie offers the following subscription plans. Every feature of the platform is included in both self-serve plans - plans differ only in included units and per-unit rates:
- Core Plan ($95/month): Includes 25 units, with additional units at $3.50 per unit per month.
- Premier Plan ($455/month): Includes 150 units, with additional units at $2.75 per unit per month.
- Enterprise (Custom Pricing): Custom unit pricing at scale, a dedicated account manager, 24/7 phone support, and training and onboarding. Contact sales.
7.2 Free Trial
New accounts start with a free trial:
- At signup: 2 weeks free
- Reach 15 total units: 1 additional week free
- Reach 35 total units: 1 additional week free (up to 4 weeks total)
A valid payment method is required to start the trial, and you will not be charged until the trial ends. During the trial you have access to every feature of your selected plan. At the end of the trial, your subscription converts to a paid subscription and your payment method is charged, unless you cancel before the trial ends.
7.3 Automatic Renewal
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each monthly billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file for the renewal amount. You may cancel from your account's billing settings or by contacting us at support@managrie.com. Cancellation takes effect at the end of your current billing period, and you retain access to the Service until then.
7.4 Billing Cycle
Subscriptions are billed monthly. Your billing cycle begins when your paid subscription starts and renews on the same day each month. Per-unit charges for units above your plan's included amount are billed together with your subscription.
7.5 Payment Methods
Subscription payments are processed by Stripe, our payment processor. We accept major credit and debit cards. You authorize us to charge your selected payment method for all fees incurred under your account, including subscription fees, per-unit charges, and applicable taxes.
7.6 Price Changes
We may change our prices with at least 30 days' notice. Your continued use of the Service after a price change takes effect constitutes your agreement to the new price. You may cancel your subscription before the change takes effect without penalty.
7.7 Refund Policy
Subscription fees are generally non-refundable, with the following exceptions:
- 14-Day Satisfaction Guarantee: New paid subscribers may request a full refund within 14 days of their first paid charge if they are not satisfied with the Service.
- Billing Errors: If you are charged in error, we will refund the incorrect amount upon verification.
To request a refund, contact support@managrie.com with your account details. Refunds are processed to the original payment method.
7.8 Failed Payments
If a payment fails, we will notify you by email and retry the charge. You may update your payment information in your account's billing settings at any time. After repeated failed attempts, we may suspend access to the Service until payment succeeds. You remain responsible for any uncollected amounts.
7.9 Taxes
Fees are exclusive of applicable taxes unless otherwise stated. You are responsible for all taxes associated with your subscription, other than taxes on our income.
8. Data Ownership and Portability
8.1 Your Data
You retain all ownership rights to the data you upload, enter, or create using the Service ("Your Data"), including property information, tenant records, financial data, documents, and any other content you provide.
8.2 License to Use Your Data
By using the Service, you grant Managrie a limited, non-exclusive license to use, process, store, and display Your Data for the purposes of operating, maintaining, monitoring, securing, supporting, and improving the Service and complying with law. Authorized Managrie personnel may access Your Data for those purposes, and such access is logged. We may create and use de-identified or aggregated data that cannot reasonably be linked to you, any property, or any tenant, for any purpose, including analytics, benchmarking, and product development. We will not sell, rent, or share Your Data with third parties except as described in our Privacy Policy or as necessary to provide the Service.
8.3 Data Export
You may export Your Data through the Service's reporting and export functionality. Upon termination of your account, you will have 30 days to export Your Data before it is permanently deleted.
8.4 Data Deletion
Upon your request, or following account termination and the export period, we will delete Your Data from our active systems, subject to the retention requirements described in our Privacy Policy and applicable law.
Records you delete within the Service (for example a tenant, lease, unit, or transaction) are removed from your workspace. Where applicable law or financial record-keeping requires, we retain them for the periods described in our Privacy Policy. Records you delete are not recoverable by you through the Service.
8.5 Public Listings
Listings are private by default. You choose whether to publish a unit, property, or listing collection publicly; only content you publish becomes public, and you may unpublish it at any time. When you publish a listing, its contents (such as address, rent, availability, photos, and description) are visible to anyone, and you grant Managrie a non-exclusive, royalty-free license to display, reproduce, and distribute that listing content, including through listing partners and search services, for as long as it remains published. You are responsible for the accuracy of your listings and for their compliance with fair housing and advertising laws. Listings never include information about tenants.
9. Multi-Tenant Data Isolation
9.1 Data Segregation
Managrie is a multi-tenant SaaS platform, meaning multiple customers share the same infrastructure. We implement strict data isolation measures to ensure that your data is never accessible to other customers:
- Logical Separation: Each organization's data is logically separated using unique identifiers and access controls
- Row-Level Security: Database queries are filtered to only return data belonging to your organization
- Application-Level Controls: All API requests and application functions validate organization ownership before returning or modifying data
- Encryption: Data is encrypted at rest and in transit
9.2 Access Controls
Within your organization, you control who has access to your data through role-based access controls (RBAC). Administrators can:
- Create and manage user accounts
- Assign roles and permissions
- Restrict access to specific properties or data types
- Revoke access at any time
9.3 Tenant Portal Isolation
When tenants access the Tenant Portal, they can only view and interact with:
- Their own lease information
- Their payment history and upcoming payments
- Maintenance requests they have submitted
- Documents shared specifically with them
Tenants cannot access information about other tenants, other properties, or your organization's internal data.
9.4 Isolation Guarantees
Our data isolation controls are enforced at the application and data layers, are covered by automated tests, and are reviewed as part of ongoing development. No customer can access another customer's data through the Service.
10. Programmatic Access
The Service does not currently offer a public API. Automated access to the Service - including bots, scrapers, or other programmatic means - is not permitted without our express written permission, as described in the Acceptable Use Policy. If we offer an API in the future, its use will be governed by additional terms published at that time.
11. Third-Party Services
11.1 Payment Processing
Payments on the platform are processed by Stripe. By making or receiving payments through the Service, you also agree to the applicable Stripe terms, including the Stripe Services Agreement and, for accounts that receive payouts, the Stripe Connected Account Agreement. We do not store your full card details - payment credentials are handled by Stripe.
11.2 Infrastructure
The Service is hosted on Amazon Web Services (AWS) infrastructure located in the United States.
11.3 No Other Integrations
The Service does not currently offer built-in integrations with accounting software, tenant screening services, e-signature providers, or similar third-party products. If integrations are offered in the future, enabling one may subject you to that third party's terms, and we are not responsible for the availability, performance, or data practices of third-party services.
11.4 Referral Program
Managrie operates a referral program through which independent referral partners may refer new customers to the Service. Referral partners are independent third parties, not employees, agents, or representatives of Managrie. They have no authority to make representations, promises, or commitments on our behalf, and statements made by a referral partner about pricing, features, availability, or timelines do not bind Managrie; only these Terms and our published pricing do. Referral partner compensation is governed by a separate agreement between Managrie and the partner. Referral partners do not receive personal information about the customers they refer.
11.5 Advertising and Partner Offers
The Service may display advertisements and offers for Managrie products and for third-party products and services that we select, such as service providers relevant to property management. Some placements are paid. Advertisements are identified as such. Advertisers do not receive your personal information from us. You decide whether to contact or transact with any advertiser, and any such transaction is between you and that third party under its own terms.
12. Intellectual Property Rights
12.1 Our Intellectual Property
The Service, including its original content, features, functionality, and underlying technology, is owned by Managrie, Inc. and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.
12.2 Limited License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to:
- Modify, copy, or create derivative works of the Service
- Reverse engineer or attempt to extract the source code
- Remove any proprietary notices or labels
- Use the Service for any purpose other than as intended
12.3 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us the right to use such feedback without restriction or compensation to you.
13. Disclaimers and Limitations of Liability
13.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2 No Guarantee of Availability
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that any errors or defects will be corrected. While we strive for high availability, we cannot guarantee 100% uptime.
13.3 No Legal or Financial Advice
The Service is a property management platform and does not provide legal, financial, tax, or accounting advice. You should consult with qualified professionals for advice specific to your situation.
13.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANAGRIE, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF FORESEEABLE OR MANAGRIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
TO THE EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MANAGRIE, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, INCLUDING FOR ANY IMPLIED WARRANTIES (WHICH CANNOT BE LIMITED OR EXCLUDED), WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR ACCESS TO OR USE OF THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE DATE THE CLAIM FIRST AROSE AND (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the exclusions and limitations above may not apply to you. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
13.5 Third-Party Services
The Service may integrate with or contain links to third-party services (such as payment processors, accounting software, etc.). We are not responsible for the content, policies, or practices of any third-party services.
14. Indemnification
You agree to indemnify, defend, and hold harmless Managrie, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including privacy rights
- Any content you upload, submit, or transmit through the Service
- Any claims by your tenants, vendors, or other third parties related to your use of the Service
15. Termination and Suspension
15.1 Termination by You
You may terminate your account at any time by:
- Using the account cancellation feature in Account Settings > Billing
- Contacting us at support@managrie.com
Upon termination, you will continue to have access to the Service until the end of your current billing period. No refunds are provided for partial periods unless covered by our Refund Policy (Section 7.7).
15.2 Account Suspension
We may suspend your access to the Service, in whole or in part, under the following circumstances:
- Payment Failure: If your payment fails and is not resolved within 10 days
- Security Concerns: If we detect suspicious activity or potential security threats
- Terms Violation: If we believe you have violated these Terms or the Acceptable Use Policy
- Legal Requirements: If required by law or legal process
During suspension:
- You may not access the Service, but your data will be preserved
- Billing will continue unless otherwise specified
- We will attempt to notify you of the suspension and the reason
- You may appeal the suspension by contacting support@managrie.com
15.3 Termination by Us
We may terminate your account at any time, with or without cause. Reasons for termination may include:
- Repeated or serious violations of these Terms
- Fraudulent, illegal, or harmful activities
- Non-payment of fees after suspension
- Account inactivity for more than 12 consecutive months
- Discontinuation of the Service
- Legal or regulatory requirements
We will provide at least 30 days' notice before termination, except where immediate termination is necessary to protect the Service, other users, or comply with legal obligations.
15.4 Effect of Termination
Upon termination:
- Your right to access and use the Service will cease at the end of the notice period
- You will have 30 days from termination to export Your Data
- After the export period, we will delete Your Data in accordance with Section 8.4
- You remain responsible for any outstanding fees
- Provisions that by their nature should survive termination will survive, including: data ownership, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions
15.5 Reinstatement
If your account is terminated due to non-payment or a curable violation, you may request reinstatement by:
- Paying all outstanding amounts
- Demonstrating that the violation has been cured
- Agreeing to comply with these Terms going forward
Reinstatement is at our sole discretion and may be subject to additional conditions.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.
We encourage you to review these Terms periodically for any changes. The "Last Updated" date at the top of these Terms indicates when they were last revised.
17. Governing Law and Dispute Resolution
17.1 Applicable Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
17.2 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at support@managrie.com to attempt to resolve the dispute informally. We will work in good faith to resolve the issue within 30 days.
17.3 Binding Arbitration
If we cannot resolve a dispute informally, you and Managrie agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration shall be conducted by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration shall take place in Wilmington, Delaware, or at another mutually agreed location.
The arbitrator shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms, including whether a claim is subject to arbitration.
17.4 CLASS ACTION WAIVER
YOU AND MANAGRIE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Managrie agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
17.5 Exceptions to Arbitration
Notwithstanding the foregoing, either party may:
- Seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights
- Bring an action in small claims court if the dispute qualifies
17.6 Jurisdiction
For any matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware, and you waive any objection to venue in such courts.
17.7 Time Limitation
Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.
18. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party ("Force Majeure Event"). Force Majeure Events include, but are not limited to:
- Natural disasters (earthquakes, floods, hurricanes, etc.)
- Acts of war, terrorism, or civil unrest
- Pandemics or epidemics
- Government actions, laws, or regulations
- Power outages or telecommunications failures
- Cyberattacks or security breaches affecting infrastructure
- Labor disputes or strikes
- Failure of third-party services or suppliers
If a Force Majeure Event continues for more than 30 days, either party may terminate the affected services without liability by providing written notice to the other party.
19. General Provisions
19.1 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law. Any attempted assignment in violation of this section is void.
19.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
19.3 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Managrie regarding the Service and supersede all prior agreements, understandings, representations, and warranties, both written and oral, regarding the Service.
19.4 Waiver
The failure of Managrie to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Managrie. No waiver shall be deemed a further or continuing waiver of such provision or any other provision.
19.5 Relationship of the Parties
Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and Managrie. Neither party has any right or authority to assume or create any obligation on behalf of the other party.
19.6 Third-Party Beneficiaries
These Terms do not confer any third-party beneficiary rights. No person or entity other than you and Managrie shall have any rights under these Terms.
19.7 Headings
The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
19.8 Notices
All notices to Managrie shall be sent to support@managrie.com. Notices to you will be sent to the email address associated with your account. Notices are deemed delivered upon sending for email communications.
20. Electronic Communications
20.1 Consent to Electronic Communications
By using the Service, you consent to receive electronic communications from us, including:
- Account-related emails (registration, password resets, security alerts)
- Service notifications (maintenance, outages, feature updates)
- Billing communications (invoices, payment confirmations, renewal notices)
- Legal notices (Terms updates, Privacy Policy changes)
- Promotional communications about Managrie products and selected third-party products and services (you may opt out as described in Section 20.4)
20.2 Electronic Signatures
You agree that your electronic acceptance of these Terms (by clicking "I Agree," creating an account, or using the Service) constitutes a valid and binding signature with the same force and effect as a handwritten signature.
20.3 Electronic Records
You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree to maintain a valid email address and to check your email regularly.
20.4 Opting Out
